Corporate Counsel (Contracts)

<p>The Corporate Counsel (Contracts) will be responsible for drafting, negotiating and counseling on a broad range of commercial contract transactions with a focus on provider arrangements.&nbsp; This individual will also be responsible for working with business stakeholders across the company on a variety of contracting needs. The incumbent will also act as a resource to others in the Legal and Compliance Department and work closely with internal business clients.</p> <h4>Responsibilities</h4> <div> <div> <div> <ul> <li>Draft and negotiate a&nbsp;significant volume of sales/revenue contracts for the Company and its affiliated entities;</li> <li>Structure, draft, and negotiate commercial agreements with customers and partners, including technology-related agreements, professional services agreements,&nbsp;nondisclosure agreements, and data sharing agreements;</li> <li>Respond&nbsp;to&nbsp;contract related inquiries and provide guidance as a subject&nbsp;matter expert;&nbsp;</li> <li>Negotiate with external customers on vendor and client contracts, business associate agreements and other commercial transactions;</li> <li>Support the needs of the Sales to review and negotiate agreements, manage the contracting process and drive deals to closure;</li> <li>Take on additional assignments and responsibilities as needed;</li> <li>Maintain compliance with Inovalon’s policies, procedures and mission statement;</li> <li>Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon’s Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position; and</li> <li>Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving operational and financial success of Employer.</li> </ul> </div> </div> </div> <h4>Qualifications</h4> <div> <div> <div> <ul> <li>A minimum of five years experience working at a law firm, corporate legal department or similar environment;</li> <li>Tangible experience in commercial contracting, including drafting, reviewing, negotiating and advising business partners on complex agreements;&nbsp;</li> <li>Ability to draft, negotiate and close commercial agreements independently;</li> <li>High volume commercial transactions experience with a sales-driven, software or other technology company is preferred;</li> <li>Exceptional business judgment, with the ability to think strategically and provide practical advice by balancing business needs with legal risks;</li> <li>Ability to work in a fast paced and dynamic environment; and</li> <li>Solutions oriented mindset and positive approach to daily business.</li> </ul> <h5>Education:</h5> <ul> <li>J.D. degree from an accredited law school and licensed to practice law in any US state or D.C.</li> </ul> <p><em>Inovalon provides equal employment opportunities (EEO) to all employees and applicants for employment.
