Corporate Counsel

<p>The Corporate Counsel will be responsible for a broad array of corporate, transactional, governance and financial matters and work closely with internal business clients. This individual will also structure, review, negotiate and advise on a variety of commercial agreements and vendor contracts. The incumbent will further act as a resource to others in the Legal and Compliance Department and advise multiple levels of management on legal issues, including the provision of executive level support.</p> <h3><span style="text-decoration: underline;">Responsibilities</span></h3> <ul> <li>Draft and negotiate a variety of contracts, including commercial, technology-related, professional services and vendor agreements;</li> <li>Respond to contract related inquiries and provide guidance as a subject matter expert;</li> <li>Provide advice and counsel on general corporate, governance, commercial insurance, finance, M&amp;A, and securities matters and conduct related research;</li> <li>Provide strategic guidance to assess and mitigate legal and business risk;</li> <li>Advise on potential risks in contractual, regulatory, financial and legal areas;</li> <li>Monitor and manage the corporate insurance docket, related coverage topics and the review of related commercial agreements;</li> <li>Support international expansion efforts, including subsidiary formation, maintenance of inter-company structures and related research;</li> <li>Provide legal support for equity compensation matters as needed, including employee education, stock and incentive plans and related agreements;</li> <li>Provide support for M&amp;A transactions, including working on deal structure and LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution;</li> <li>Assist with subsidiary governance and management, including registration, subsidiary formation and ongoing maintenance;</li> <li>Support other general transactional matters and take on additional assignments and responsibilities as needed;</li> <li>Maintain compliance with Inovalon’s policies, procedures and mission statement;</li> <li>Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon’s Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position; and</li> <li>We reserve the right to change this job description from time to time as business needs dictate and will provide notice of such</li> </ul> <h3><span style="text-decoration: underline;">Qualifications</span></h3> <p>Job Requirements</p> <ul> <li>A minimum of five years of relevant experience working at a law firm, corporate legal department or similar environment;</li> <li>Tangible experience in commercial contracting, including drafting, reviewing, negotiating and advising business partners on complex agreements;</li> <li>Ability to draft, negotiate and close commercial transactions independently;</li> <li>Strong written and oral communication skills and the ability to effectively communicate at all levels;</li> <li>Working knowledge of financial statements and financial transactions;</li> <li>Demonstrated experience with general corporate, M&amp;A, commercial transactional and insurance matters a plus;</li> <li>Experience with public company disclosure and subsidiary corporate governance a plus;</li> <li>Exceptional business judgment, with the ability to think strategically and provide practical advice by balancing business needs with legal risks;</li> <li>Ability to work in a fast paced and dynamic environment; and</li> <li>Solutions oriented mindset and positive approach to daily business</li> </ul> <p>Education</p> <p>Juris Doctor degree from an accredited law school and licensed to practice law in any US state or Washington, D.C.</p> <p>Location</p> <p>Bowie, MD</p><div class="content-conclusion"><p><em>The Company maintains a drug free work environment for all of its associates, which includes employees, contractors and vendors.
